01 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and LiveHi ("we," "us," or "our," or "the Company") governing your access to and use of the LiveHi iOS application, the LiveHi web application accessible at livehi.net/app, all related APIs, and associated services (collectively, the "Service").

By accessing or using the Service through any platform — including the Apple App Store, the web browser, or any other means — you affirm that:

These Terms incorporate our Privacy Policy, which is part of this agreement. Your use of the Service constitutes your ongoing acceptance of these Terms as they may be updated from time to time.

02 Eligibility and Age Requirements

You must be at least 13 years of age to use LiveHi. If you are under 13, you are not permitted to use the Service under any circumstances.

If you are between 13 and 17 years of age (or below the age of majority in your jurisdiction, whichever is higher), you may only use the Service with the express, verifiable consent and ongoing supervision of a parent or legal guardian, who agrees to be bound by these Terms on your behalf and accepts full responsibility for your conduct.

We reserve the right, in our sole discretion, to require proof of age and to immediately terminate any account we reasonably believe belongs to a user under 13 years of age, without notice and without refund.

The Service is intended primarily for personal, non-commercial use. Any commercial exploitation of the Service — including resale, white-labeling, or systematic API access for third-party products — requires a separate written commercial license agreement with LiveHi.

03 Account Registration

3.1 Authentication Methods

LiveHi supports three authentication methods. Different methods have different capabilities and restrictions as described below:

3.2 Sign in with Apple

By using Apple authentication, you authorize LiveHi to receive a unique Apple User Identifier and optionally your name and email address (which may be anonymized by Apple's private relay). You agree to Apple's terms regarding Sign in with Apple. We are not responsible for any limitations imposed by Apple on this authentication method.

3.3 Sign in with Google

By using Google Sign-In (Google OAuth 2.0), you authorize LiveHi to receive your Google account's unique identifier, name, email address, and profile picture from Google. Google Sign-In is subject to Google's Terms of Service and Privacy Policy. Google Sign-In is not available to users accessing the Service from mainland China IP addresses due to network infrastructure constraints.

3.4 Email and Password Registration

You may register directly with a nickname, valid email address, and password. By registering with email and password:

LiveHi is not liable for any loss, damage, or harm resulting from your failure to maintain account security or from unauthorized access that results from your negligence.

3.6 One Account Per User

You may maintain only one active account. Creating multiple accounts — including through different authentication methods — in order to circumvent usage limits, free trial restrictions, subscription requirements, or any other per-account limits is strictly prohibited and constitutes a material breach of these Terms, which may result in permanent termination of all associated accounts without refund.

3.7 Account Accuracy

You agree to provide accurate, current, and complete information when creating and maintaining your account. We reserve the right to suspend or terminate accounts that contain materially false or misleading information.

04 License to Use the Service

Subject to your full and continued compliance with these Terms, LiveHi grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

We may release updates, patches, or new versions of the Service at any time. You agree that these Terms apply to all updates and modifications, unless a separate agreement expressly governs such updates. You agree to use the Service only for lawful purposes and in accordance with these Terms. You expressly agree NOT to use the Service:

You must comply with all applicable local, national, and international laws, regulations, and treaties, including laws governing privacy, data protection, export controls, and intellectual property. You are solely responsible for ensuring that your use of the Service is lawful in your jurisdiction.

Violations of this Acceptable Use Policy may result in immediate account suspension or permanent termination without notice and without any refund of unused credits or subscription fees.

06 Subscriptions, Purchases & Billing

6.1 Available Plans

Prices are displayed in the App or web app at the time of purchase. All prices are exclusive of applicable taxes unless otherwise stated.

6.2 iOS Payment Processing (Apple)

All purchases made through the iOS App are processed by Apple through the App Store using Apple's StoreKit payment system. LiveHi does not directly process or store payment card information for iOS purchases. Such purchases are subject to Apple's Media Services Terms and Conditions.

6.3 Web Payment Processing (Stripe)

All purchases made through the LiveHi web application (livehi.net/app) are processed by Stripe, Inc. LiveHi does not store your full credit card number, CVV, or bank account details. Stripe is a PCI DSS Level 1 certified payment processor. By making a web purchase, you also agree to Stripe's Services Agreement.

6.4 Subscriptions and Auto-Renewal

If you purchase a subscription (Pro Monthly or Pro Annual):

6.6 Price Changes

We reserve the right to modify pricing for any plan at any time, with at least 14 days' notice provided through the App and/or email. For active subscribers, price changes take effect at the next renewal period after notice is provided. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.

6.7 Failed Payments

If a recurring payment fails, we may, at our discretion: retry the charge, notify you to update your payment method, suspend your account's premium features, or downgrade your subscription. We are not liable for any service disruption resulting from payment failure due to your payment method being declined or invalid.

07 Credits and Usage System

7.1 Two Types of Credits

LiveHi uses two distinct types of usage credits that are tracked separately:

7.2 Credit Consumption Order

When you use the translation service, plan credits are consumed first. Pack credits are consumed only after plan credits are exhausted. This ensures you maximize the value of your monthly quota before drawing from your permanent pack balance.

7.3 Usage Measurement

Credits are deducted based on the actual duration of active speech-to-text processing by our AI speech recognition service. Credits are not charged for idle time, network latency, or periods when the translation service is not actively receiving and processing audio. We measure usage as accurately as our systems allow; in the event of a measurement discrepancy, our server-side records are authoritative.

7.4 Credit Expiry and Termination

Plan credits expire at the end of each billing period (unless your plan renews, in which case they reset). All credits — both plan and pack credits — are forfeited upon account deletion or permanent termination for Terms violations. No refund is provided for forfeited credits.

7.5 Usage Limits and Enforcement

When your combined credits reach zero, the translation feature is disabled until you purchase more credits or your plan renews. We may enforce concurrent session limits per account. Attempting to circumvent credit limits through any means is a violation of Section 5.

7.6 No Cash Value

Credits have no cash value, are not transferable between accounts, cannot be redeemed for cash or any monetary equivalent, and are not a financial instrument or investment. Credits are a limited, revocable license to use certain features of the Service.

08 Refund Policy

ALL PURCHASES ARE GENERALLY FINAL AND NON-REFUNDABLE. Please review our refund policy carefully before purchasing.

To request a refund or cancel a subscription, email us at support@livehi.net.

8.1 iOS Purchases (Apple IAP)

All purchases made through the iOS App are processed by Apple. LiveHi cannot directly issue refunds for App Store purchases. To request a refund for an iOS purchase, contact Apple Support at reportaproblem.apple.com. Refunds are subject to Apple's refund policies, which LiveHi does not control.

8.2 Web Purchases (Stripe)

For purchases made through the web application (livehi.net/app), processed via Stripe:

We may, at our sole discretion, provide a refund or credit in the following limited circumstances:

Any refund issued will not exceed the amount you paid for the specific purchase in question and will be issued to your original payment method. Refund requests must be submitted within 14 days of the original charge date.

8.4 Chargebacks

Initiating a payment chargeback or dispute without first contacting us at support@livehi.net and allowing us 10 business days to resolve the issue constitutes a violation of these Terms. We reserve the right to suspend or terminate accounts subject to fraudulent chargeback attempts.

8.5 Legal Rights

Nothing in this refund policy limits any rights you may have under applicable consumer protection law in your jurisdiction, including mandatory cooling-off periods under EU/EEA law or applicable statutory rights.

09 Free Trial

LiveHi may offer a free trial to qualifying new users. The following terms govern free trials:

10 Intellectual Property

10.1 Our Intellectual Property

The Service — including the iOS App, web application, website, API, software, design, text, graphics, logos, trade names, trademarks, service marks, and all other content and materials — is owned by or licensed to LiveHi and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws worldwide.

You are granted no right, title, interest, or license in or to the Service's intellectual property beyond the limited use license described in Section 4. Any unauthorized use of LiveHi's intellectual property is a material breach of these Terms and may constitute infringement under applicable law.

10.2 Your Content

You retain ownership of the textual content created through your use of the translation feature (i.e., the transcripts generated from your speech). LiveHi does not claim ownership over your translated content.

By using the Service, you grant LiveHi a limited, non-exclusive license to process your voice audio in real-time solely to deliver the translation service. Audio data is not stored by LiveHi after processing. For web users, text transcripts of sessions may be stored to enable session history and download features, as described in our Privacy Policy.

You represent and warrant that you have all rights necessary to use any content you submit through the Service, and that doing so does not infringe any third-party rights or applicable law. You accept full responsibility for the content you translate using our Service.

10.3 Feedback

If you provide LiveHi with any feedback, suggestions, feature requests, bug reports, or ideas about the Service ("Feedback"), you grant us a worldwide, royalty-free, perpetual, irrevocable, fully sublicensable license to use, implement, modify, incorporate, and commercialize such Feedback for any purpose without any obligation or compensation to you. You waive any moral rights in such Feedback to the maximum extent permitted by law.

11 Privacy and Data

Your privacy is important to us. Please review our Privacy Policy, which is fully incorporated into these Terms by reference. The Privacy Policy explains in detail what information we collect, how we use it, who we share it with, and what rights you have.

By agreeing to these Terms, you also agree to our Privacy Policy. If you do not agree with our Privacy Policy, you must not use the Service.

12 Third-Party Services

The Service integrates with and depends on third-party services. Your use of the Service constitutes acceptance that these providers may process data as described in our Privacy Policy:

We are not responsible for the availability, accuracy, security practices, content, or policies of any third-party service. Third-party service disruptions may impact the availability of LiveHi. We make no guarantee that third-party integrations will remain available or unchanged.

Translation Accuracy Disclaimer: LiveHi relies on AI-powered speech recognition technology. Translations may contain errors, omissions, or inaccuracies. Do NOT use LiveHi for any critical, medical, legal, financial, safety-critical, or life-affecting communications where translation accuracy is essential. LiveHi is designed as a convenience tool for everyday conversation and accepts no liability for consequences arising from translation errors.

13 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW.

LiveHi expressly disclaims all warranties, including but not limited to:

Your use of the Service is at your sole risk. Some jurisdictions do not allow the exclusion of implied warranties. In such cases, our warranties are limited to the minimum scope and duration required by applicable law.

14 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LIVEHI, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This limitation applies to damages arising from, without limitation:

Aggregate Liability Cap: To the extent permitted by law, LiveHi's total aggregate liability to you for all claims arising out of or related to these Terms or the Service, regardless of the form of action, shall not exceed the greater of: (a) the total fees actually paid by you to LiveHi in the twelve (12) calendar months immediately preceding the event giving rise to the claim, or (b) USD $10.00.

Some jurisdictions do not allow the limitation or exclusion of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by applicable law. You acknowledge that this limitation of liability is a fundamental element of the basis of the bargain between LiveHi and you, and that LiveHi would not provide the Service without such limitations.

15 Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless LiveHi and its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, successors, and assigns (collectively, "LiveHi Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or relating to:

We reserve the right, at our expense, to assume exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with our defense of any claim. You may not settle any claim affecting LiveHi without our prior written consent.

16 Termination

16.1 Termination by You

You may stop using the Service at any time and delete your account through:

Account deletion is permanent, irreversible, and forfeits all unused credits and subscriptions without refund, except as required by applicable law. For iOS subscriptions, you must separately cancel through Apple's App Store settings. For web subscriptions, cancellation through our app is sufficient to stop future billing.

16.2 Termination by LiveHi

We reserve the right, in our sole discretion, to suspend, restrict, or permanently terminate your account and access to the Service, with or without notice and without liability to you, if:

Termination of your account for cause (Terms violation) results in forfeiture of all credits and subscription benefits without refund.

16.3 Survival

Upon termination for any reason, sections that by their nature should survive shall survive, including Sections 5, 8, 10, 12, 13, 14, 15, and 17.

17 Dispute Resolution & Governing Law

17.1 Informal Resolution First

Before initiating any formal legal proceeding, you agree to first contact us at support@livehi.net with a written description of the dispute and your proposed resolution. We will attempt to resolve the dispute informally within 30 days of receiving your notice. Both parties agree to negotiate in good faith.

17.2 Governing Law

These Terms and any dispute, controversy, or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17.3 Jurisdiction

Subject to Section 17.4, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Santa Clara County, California, USA for any disputes not resolved informally.

17.4 Waiver of Class Action

To the maximum extent permitted by applicable law, you waive any right to participate in a class action lawsuit, class-wide arbitration, private attorney general action, or any other representative proceeding against LiveHi or the LiveHi Parties. All disputes must be brought solely in your individual capacity.

17.5 EU/EEA Consumers

If you are a consumer located in the EU/EEA, you retain the right to bring legal proceedings in the courts of your member state of residence and may use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr. Nothing in these Terms limits your mandatory statutory consumer rights under applicable EU law.

17.6 Time Limitation on Claims

Any claim you have against LiveHi arising from or relating to the Service must be filed within one (1) year after the date the cause of action arose, regardless of any statute or law to the contrary, except where this limitation is prohibited by applicable law.

18 Apple-Specific Terms (EULA)

The following terms apply to your use of the App obtained from the Apple App Store, as required by Apple:

18.1 Acknowledgment

These Terms are concluded solely between you and LiveHi, not with Apple, Inc. ("Apple"). LiveHi, not Apple, is solely responsible for the App and its content.

18.2 Scope of License

The App license is a non-transferable license to use the App on Apple-branded products you own or control, as permitted by the Apple Media Services Terms and Conditions Usage Rules.

18.3 Maintenance and Support

LiveHi is solely responsible for maintenance and support. Apple has no obligation to furnish maintenance or support services for the App.

18.4 Warranty

In the event of App failure to conform to any applicable warranty, you may notify Apple, and Apple may refund the App purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation regarding the App.

18.5 Product Claims

LiveHi, not Apple, is responsible for addressing claims relating to the App, including product liability, regulatory conformance, and consumer protection claims.

18.6 Intellectual Property

In the event of any third-party intellectual property infringement claim relating to the App, LiveHi, not Apple, is solely responsible for investigation, defense, settlement, and discharge of the claim.

18.7 Legal Compliance

You represent that you are not located in a country subject to a U.S. Government embargo or designated as a terrorist-supporting country, and that you are not on any U.S. Government prohibited or restricted party list.

18.8 Third-Party Beneficiary

Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the App. Upon your acceptance, Apple has the right to enforce these Terms against you as a third-party beneficiary.

19 Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. When we make changes, we will:

Changes generally take effect 14 days after posting unless required by law or for new features (which take effect immediately). Your continued use of the Service after changes take effect constitutes your unconditional acceptance of the revised Terms. If you do not agree to revised Terms, you must immediately stop using the Service and delete your account. We are not obligated to provide individualized notice of every change.
